1. Agreement & Scope
This End User Licence Agreement ("Agreement") is between you — or the organisation you represent ("you", "Customer") — and Floyant Technologies Private Limited ("SysClaw", "we", "us", "our"). It governs your download, installation, and use of the SysClaw desktop application, including the Community, Pro, and Defend editions and any updates we provide (together, the "Software").
By installing, activating, or using the Software you accept this Agreement. If you do not agree, do not install or use the Software.
2. Editions & Licence Grant
Subject to your compliance with this Agreement, SysClaw grants you a non-exclusive, non-transferable, non-sublicensable licence to install and use the Software, in object code form only, for your internal business purposes, according to the edition licensed to you:
- Trial: Every installation begins with a 30-day evaluation period during which all product features are enabled at no charge. At the end of the trial the Software automatically reverts to the Community edition; data collected during the trial is retained locally and is not deleted.
- Community: A perpetual, royalty-free licence to use the Community edition at no cost, limited to one connected tenant and one operator seat. Additional operator seats may be purchased as an add-on.
- Pro and Defend: A subscription licence for the term stated in your order or purchase confirmation, priced in bands by the total number of users under management across all connected tenants, with unlimited tenants and unlimited operators. Defend includes everything in Pro plus threat detection, investigation, and supervised response capabilities.
The licence permits use against Microsoft 365 tenants that you or your organisation administer, including client tenants you manage under a services agreement — provided you are authorised to administer each such tenant. All rights not expressly granted are reserved by SysClaw.
3. Licence Restrictions
You shall not, and shall not permit any third party to:
- Reverse engineer, decompile, or disassemble the Software, except to the extent such restriction is prohibited by applicable law;
- Sell, resell, rent, lease, sublicense, or redistribute the Software or licence keys to any third party;
- Circumvent, tamper with, or attempt to defeat licence key validation, edition boundaries, tenant or operator limits, or other technical protections;
- Remove or alter any copyright, trademark, or proprietary notices in the Software;
- Use the Software to access, probe, or administer any Microsoft 365 tenant you are not authorised to administer;
- Use the Software to develop or benchmark a competing product, or publish benchmark results, without our prior written consent;
- Use the Software in violation of applicable law, Microsoft's product and API terms, or the terms of any third-party service the Software connects to.
4. Operator Responsibility & Authorised Use
The following allocation of responsibility is a fundamental term of this Agreement:
- Your credentials, your authority: The Software acts under Microsoft 365 credentials, consents, and permissions that you or your organisation supply and control — via Microsoft Graph, the Office 365 Management APIs, Exchange Online, and PowerShell. Every action the Software performs is executed as, and attributable to, those credentials.
- Actions are performed as instructed: The Software executes the management, remediation, detection, scheduling, and export actions that you or your operators configure and initiate. It does not independently decide to change your tenant. An action's effect — including irreversible changes to or deletion of tenant data — is your responsibility and your organisation's responsibility, not SysClaw's.
- Review before you run: You are responsible for reviewing configurations, scheduled tasks, alert rules, and automated or bulk actions before enabling or executing them, and for testing them appropriately before production use.
- Permission hygiene: You are responsible for the scope of the app consents, roles, and credentials you grant the Software, for restricting operator access appropriately, and for revoking consents and credentials when they are no longer required.
- Authority to administer: You represent and warrant that you are authorised to administer every tenant you connect to the Software and to perform the actions you direct the Software to perform in it.
- Data outputs: Reports, exports, audit records, and local databases produced by the Software contain tenant data and are stored on your machine under your control. Their safeguarding, retention, and disclosure are your responsibility.
5. Local Processing & Your Data
The Software is a local-first desktop application. Tenant data is collected to, processed on, and stored on the machine where the Software runs. SysClaw does not operate a telemetry endpoint, analytics beacon, crash-reporting service, or licence phone-home. Licence activation is validated locally, and an activated installation continues to operate with no outbound connection to SysClaw at all.
The Software communicates outbound only to the destinations enumerated in the published egress allow-list — principally Microsoft service endpoints you configure it to call, plus optional third-party services (such as threat-intelligence or GeoIP lookups and secure-link delivery) that you choose to enable or invoke. Those calls go directly from your machine to the third party; they do not transit SysClaw infrastructure, and each is governed by that provider's own terms and privacy policy.
Because tenant data never reaches our servers, SysClaw does not act as a processor or sub-processor of your tenant data. As between you and SysClaw, you retain all rights in your tenant data and are the controller of any personal data the Software processes on your machine.
6. Assessments, Baselines & Compliance Output — Informational Only
Posture assessments, baseline comparisons (including baselines derived from publications such as CISA SCuBA), drift findings, scores, and reports produced by the Software are provided for informational and operational purposes only.
- They do not constitute legal, regulatory, audit, or compliance advice, and a passing score does not certify or guarantee compliance with any law, regulation, framework, or contractual obligation;
- References to third-party baselines do not imply that SysClaw or your organisation is endorsed or certified by the publishing body;
- You remain solely responsible for interpreting results, deciding whether and how to remediate, and validating any change before applying it to your tenant.
7. Updates
The Software does not phone home; updates are obtained by downloading a new installer when we publish one. We may choose not to provide updates for versions we have designated end-of-support. You are responsible for installing security updates promptly — running an outdated version may leave known vulnerabilities unpatched on your machine.
8. Third-Party Services & Components
The Software interoperates with Microsoft 365 and other third-party services. Your use of those services — including Microsoft Graph, the Office 365 Management APIs, Exchange Online, and PowerShell module dependencies — is governed by the third party's own terms, and third-party service changes or outages may affect the Software's functionality. SysClaw is not responsible for third-party services, their availability, or their terms.
The Software includes third-party and open-source components that remain the property of their respective owners and are licensed to you under their own licence terms, which accompany the Software or are referenced in its documentation.
9. Intellectual Property
SysClaw and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement grants a licence; it is not a sale. If you provide feedback or suggestions about the Software, you grant us a non-exclusive, royalty-free right to use them to improve our products.
Microsoft, Microsoft 365, Microsoft Entra, Exchange Online, SharePoint Online, Microsoft Teams, and Microsoft Defender are trademarks of Microsoft Corporation. This product is not endorsed by or affiliated with Microsoft Corporation.
10. Warranty Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. SYSCLAW DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.
You are solely responsible for determining whether the Software is appropriate for your use and assume all risks associated with its use, including the risk of program errors and of damage to or loss of data, configuration, or tenant state. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (A) IN NO EVENT WILL SYSCLAW, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR TENANT CONFIGURATION, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OR INABILITY TO USE THE SOFTWARE — INCLUDING DAMAGES RESULTING FROM ACTIONS THE SOFTWARE PERFORMED UNDER YOUR CREDENTIALS AND INSTRUCTIONS — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) SYSCLAW'S TOTAL AGGREGATE LIABILITY UNDER OR IN CONNECTION WITH THIS AGREEMENT WILL NOT EXCEED THE FEES YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM — OR, IF YOU PAID NO FEES (INCLUDING USE OF THE COMMUNITY EDITION OR TRIAL), ONE HUNDRED U.S. DOLLARS (US$100).
Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited under applicable law.
12. Indemnification
You will indemnify, defend, and hold harmless SysClaw and its affiliates, directors, and employees from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) actions performed via the Software under credentials you supplied, where you lacked authority to perform them; (b) your use of the Software in violation of this Agreement or applicable law; or (c) data or content you process or export using the Software.
SysClaw will indemnify and defend you against third-party claims alleging that the unmodified Software, used as permitted by this Agreement, directly infringes that third party's patent, copyright, or trade secret, provided you notify us promptly in writing, allow us to control the defence and settlement, and reasonably cooperate. This states SysClaw's entire obligation and your exclusive remedy for intellectual property infringement claims.
13. Term & Termination
This Agreement is effective when you first install or use the Software. The Community edition licence continues until terminated; Pro and Defend licences continue for the subscription term purchased. We may terminate this Agreement if you materially breach it. You may terminate at any time by uninstalling and destroying all copies of the Software.
On expiry or termination of a paid subscription, the Software reverts to the Community edition; locally stored data remains on your machine. On termination of this Agreement entirely you must cease using the Software and destroy all copies. Sections relating to licence restrictions, operator responsibility, intellectual property, warranty disclaimer, limitation of liability, indemnification, and governing law survive termination.
14. Export Control & High-Risk Use
You will comply with all applicable export control and sanctions laws and will not download, install, or use the Software in or for the benefit of any embargoed country or region, or by any person or entity on a restricted-party list. The Software is administration tooling and is not designed or licensed for use in high-risk environments requiring fail-safe performance — such as the operation of nuclear facilities, aircraft navigation or communications systems, or life-support systems — where failure could lead to death, personal injury, or severe environmental damage.
15. Governing Law & Disputes
This Agreement is governed by the laws of India, without regard to conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the courts of India, except where mandatory local law provides otherwise.
16. General
This Agreement, together with the order or purchase confirmation applicable to your edition,
constitutes the entire agreement between you and SysClaw regarding the Software and supersedes
prior understandings. We may update this Agreement for new releases; the version published at
sysclaw.com/legal/eula/ applies from its effective date, and
continued use of a release after that date constitutes acceptance. If any provision is held
unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver. You
may not assign this Agreement without our consent; we may assign it in connection with a merger,
acquisition, or sale of assets.
